Job Purpose:

We are seeking a qualified Company Secretary (CS) who also holds a Chartered Accountant (CA) certification to manage the companys compliance, corporate governance, and financial functions.

This dual role will be responsible for ensuring regulatory compliance, maintaining statutory records, handling corporate filings, as well as overseeing financial reporting, audits, and tax matters.

The position requires strong knowledge of both corporate laws and accounting standards to support effective decision-making and business growth.


Key Responsibilities:


Secretarial & Compliance:


- Ensure compliance with all statutory and regulatory requirements under the Companies Act, SEBI, RBI, FEMA, and other applicable laws.

- Organize and conduct Board Meetings, Committee Meetings, and Annual General Meetings, including preparation of agendas, minutes, and notices.

- Maintain statutory registers, records, and filings with MCA, ROC, and other regulatory bodies.

- Advise the Board and management on corporate governance best practices.

- Draft and vet legal documents, agreements, and resolutions.


Finance & Accounts:


- Oversee statutory audits, internal audits, and tax audits, ensuring accuracy and timely completion.

- Prepare and review financial statements as per applicable accounting standards.

- Manage direct and indirect taxation, including GST, Income Tax, and Transfer Pricing compliance.

- Monitor financial performance, budgeting, and cash flow management.

- Liaise with banks, financial institutions, auditors, and regulators.

- Provide financial analysis and risk assessments to support strategic decisions.


Qualifications & Experience:


- Qualified Company Secretary (CS) and Chartered Accountant (CA).

- 3-6 years of post-qualification experience in corporate compliance, governance, and finance.

- In-depth knowledge of Companies Act, SEBI regulations, FEMA, and taxation laws.

- Strong understanding of accounting principles, financial reporting, and auditing standards.

- Excellent drafting, presentation, and communication skills.

- Ability to handle multiple responsibilities with attention to detail.

- High integrity, confidentiality, and professionalism.

- Proficiency in MS Office, Tally/ERP, and familiarity with compliance tools
