Key Responsibilities:

Governance & Board Support:

- Organize and manage board and committee meetings, including preparation of agenda, minutes, resolutions, and follow- ups.

- Advise the board on statutory, governance, and ethical matters.

- Ensure compliance with all provisions under the Companies Act, SEBI regulations, and RBI/NBFC guidelines (if applicable).

Statutory Compliance & Filings:

- Maintain statutory registers and records as per the Companies Act and other applicable laws.

- File returns and reports with the Registrar of Companies (ROC), RBI, SEBI, and other regulatory bodies in a timely manner.

- Monitor changes in relevant legislation and the regulatory environment and take appropriate action.

Secretarial Audit & Reporting:

- Coordinate with external auditors for secretarial audit, compliance certifications, and due diligence.

- Draft and review compliance reports, disclosures, annual reports, and internal policies.

Regulatory Affairs:

- Liaise with regulatory authorities like MCA, SEBI, RBI, and stock exchanges (if listed).

- Ensure compliance with applicable NBFC or SEBI guidelines, especially for financial products and services.

Corporate Actions:

- Handle issuance/allotment of shares, dividend declarations, corporate restructuring, and other key events.

- Manage the ESOP programs, shareholder communications, and AGMs/EGMs.

Legal and Contractual Support:

- Assist in drafting/reviewing key legal documents, NDAs, service agreements, and MoUs.

- Coordinate with legal advisors and external counsel on litigation and legal opinions.

Qualifications & Experience:

Education: Qualified Company Secretary (ICSI) - Mandatory

Experience: 15- 20 years of post- qualification experience, preferably in a financial services company, NBFC, or listed entity

Key Skills & Competencies

- In- depth knowledge of Companies Act, SEBI (LODR), FEMA, and relevant financial sector regulations

- Strong drafting and communication skills

- High attention to detail and accuracy

- Ability to manage multiple stakeholders and deadlines

- Ethical, proactive, and solutions- oriented mindset
