
Role Summary/ purpose:
The AVP Legal will be a member of the Legal leadership team, working closely/ assisting the Group Chief Legal Officer (GCLO) in all aspects of legal affairs.
This role involves significant interaction with senior management, providing advice on a variety of legal issues, managing outside counsels, and leading internal teams.
Responsibilities:
- Provide legal advice on a broad range of issues, influencing strategic decision-making.
- Assist with litigation strategy and manage outside counsel relationships.
- Overseeing the legal aspects of Company business.
- Provide legal support in business acquisition and throughout the project life cycle.
- Leading funding transactions from legal and managing and guiding external legal counsels.
- Corporate Deals: Leading equity deals and ensuring closure of deals and any other outstanding issues with the other party.
- Contracts: Leading the contracts function from Legal team, which involves drafting, negotiations and finalization of the contracts with third party EPC vendors, suppliers, consultants, etc.
- M&A/ Corporate Finance: Defending indemnity claims with respect to corporate funding / sale of assets transactions.
- Supporting in decision making with respect to strategic litigations.
- Leading strategic litigations as per the advice of the GCLO/ management.
- Business Acquisition: Supporting the Business Acquisition team in participation in competitive bids, which includes review of bid documents and issuing a detailed risk analysis of the same, addressing queries raised with respect to submitted bids, vetting of bid proposal prior to submission, review of communications issued to the bid coordinator, due diligence of the SPV prior to acquisition from the bid coordinator on a successful bid and acquisition of SPV.
- Policy Advocacy: General legal advisory on strategy and interpretation of draft/ new regulations.
- Formulation of processes/ SOPs/ Strategy documents as per business requirements, with an objective to streamline processes and mitigation of Company's risk exposure.
- Other assignments as per the advice of the GCLO.
- Qualifications: Law graduate from a reputed law school, with work experience of around [15+] years in multinational companies preferably in power/infrastructure/energy sectors.
- A mix of in house and law firm experience would be preferable.
Desired Characteristics: Sound commercial understanding of power/energy business; and government tenders/projects.
