Senior Manager - AIF Compliance (CAT II or CAT III)

About the Role:

- We are seeking a seasoned and detail-oriented Sr. Manager - AIF Compliance to join our team in Hyderabad.

- This is a crucial role responsible for ensuring complete adherence to all regulations governing Alternative Investment Funds (AIFs), specifically Category II and III, as mandated by the Securities and Exchange Board of India (SEBI).

- The ideal candidate will be the central point for all compliance-related matters, working collaboratively with various teams to maintain a robust and proactive compliance framework.

- This is a permanent position on our HR payroll.

Key Responsibilities:

Regulatory Compliance & Reporting:

- Oversee and manage end-to-end compliance for all AIFs, ensuring strict adherence to SEBI regulations for CAT II or CAT III funds.

- Prepare and submit all mandatory quarterly and ad-hoc reports to SEBI in a timely and accurate manner.

- Maintain meticulous records for all compliance activities, ensuring they are audit-ready at all times.

Documentation and Agreements:

- Draft, vet, and negotiate critical fund documents, including Private Placement Memorandums (PPMs), amendments to PPMs, Contribution Agreements, and Side Letters, in coordination with legal counsel.

- Develop and review the internal Compliance Manual and other key policies for AIFs.

- Review and approve all service-related agreements, NDAs, and engagement letters.

Fund Operations:

- Review and approve all investor-facing materials, including marketing collaterals, quarterly updates, and annual reports.

- Ensure all compliance obligations related to investee companies and investors are met, including maintaining accurate records and upholding investor/investee agreements.

- Manage the KYC (Know Your Customer) process for investors and provide regular updates on fund progress.

- Oversee compliance aspects of accounting, taxation, and audit reports.

Risk Management & Strategy:

- Conduct periodic reviews of fund investments, perform risk analysis, and generate comprehensive - reports.

- Proactively identify, assess, and mitigate compliance risks associated with AIF operations.

- Provide expert regulatory insights during the fund structuring and product design phases.

- Stay abreast of new and evolving laws, regulations, and guidelines from SEBI and other regulatory bodies.

Candidate Profile:

Experience: 4 - 7 years of relevant experience, with a proven track record in AIF compliance.

Education: CA, CS, LLB, or MBA.

Skills:

- Deep and practical knowledge of SEBI regulations for AIF CAT II and/or CAT III funds.

- Exceptional legal drafting, vetting, and negotiation skills.

- Strong analytical and problem-solving abilities.

- Excellent communication and interpersonal skills.

- Highly organized with meticulous attention to detail.

Notice Period: Up to 3 months.
