Key Responsibilities:
- Regulatory Compliance: Ensure stringent compliance with the Companies Act, SEBI (Securities and Exchange Board of India) LODR (Listing Obligations and Disclosure Requirements) Regulations, and RBI/IRDAI (Reserve Bank of India/Insurance Regulatory and Development Authority of India) guidelines.
- Meeting Management: Plan, organize, and manage Board, Committee, and Shareholder meetings, including preparing agendas and distributing meeting materials.
- Record Keeping & Documentation: Draft, review, and meticulously maintain statutory records, resolutions, and minutes of all corporate meetings.
- Filings & Disclosures: Handle all SEBI filings, stock exchange disclosures, and ensure strict adherence to insider trading regulations.
- Investor Relations & Governance: Manage investor relations activities and develop, implement, and maintain comprehensive corporate governance policies.
- Stakeholder Coordination: Coordinate effectively with auditors, legal advisors, and regulatory bodies to ensure smooth operations and compliance.
Qualifications:
- Education: Company Secretary (CS) qualification is mandatory, and an LLB (Bachelor of Laws) degree is highly preferred.
- Experience: 8-12 years of relevant experience, with a significant portion gained within a listed BFSI company.
- Knowledge: Strong and in-depth knowledge of corporate law, SEBI regulations, and BFSI-specific regulatory frameworks.
- Skills: Excellent organizational, communication, and drafting skills, with meticulous attention to detail.
