Job Title: Specialist| CS, LLB (Company Secretary & Legal Officer)|Contractual| Third Party Payroll.

Experience: 2-3 Years.

Industry: Corporate, MNCs, or Law/Consulting Firms.

Job Responsibilities:.

Corporate Governance & Compliance:.

Regulatory Compliance: Ensure compliance with the Companies Act, SEBI regulations, FEMA, and other corporate laws.

Meeting Management: Organize and document board meetings, AGMs, EGMs, and shareholder meetings.

Regulatory Filings: File annual returns and regulatory reports with MCA, SEBI, and other authorities.

Records & Registers Maintenance: Maintain statutory registers, records, and filings (ROC, MCA, SEBI, RBI, etc.

Board Documentation: Draft and review board resolutions, minutes, and agendas for meetings.

Legal Advisory & Contract Management:.

Contract Drafting & Review: Draft, review, and negotiate commercial contracts, NDAs, MoUs, and vendor agreements.

Litigation & Dispute Resolution: Handle legal notices, disputes, and arbitration proceedings.

Due Diligence & Risk Assessment: Assist in due diligence and risk assessments for business transactions.

External Counsel Coordination: Coordinate with external legal counsel for litigation and compliance matters.

Regulatory Monitoring: Monitor changes in laws, regulations, and industry standards affecting the company.

Governance Policy Implementation: Implement policies to ensure adherence to corporate governance principles.

Internal Coordination: Coordinate with internal teams, auditors, and compliance officers for seamless operations.

Key Skills & Competencies:.

Corporate Law Expertise: Strong knowledge of corporate laws, SEBI, RBI, FEMA, IBC, and company secretarial work.

Legal Documentation: Expertise in drafting contracts, agreements, and legal documentation.

Communication & Negotiation: Excellent communication and negotiation skills.

Compliance Management: Ability to handle regulatory compliance and corporate governance independently.

Legal Research & Risk Management: Proficiency in legal research and risk management.

Educational Qualification:.

- CS (Company Secretary) from ICSI.

- LLB (Bachelor of Laws) from a recognized university.
