Manager/Senior Manager - Legal Alternative Investment Funds

Role Objective:

The candidate shall play a dual role - 1. in the business administration of Alternative Investment Funds (AIFs) launched by entities ("Fund Group"), more specifically, which are focused on investment in Private Equity & Near-IPO companies. 2. the candidate shall manage legal aspects of the fund such as assisting in finalization of fund documents.

In the role of Business Administration, the candidate will directly engage with stakeholders such as external legal firms, legal and compliance team, investee companies in negotiating and finalizing the terms of investments. The candidate shall also be closely involved in launch of new schemes by coordinating with various stakeholders and assisting the Business Head in finalizing the various features of the scheme.

In legal role, the candidate will engage with the legal team and other external stakeholders such as legal/tax advisors, merchant banker, trustees., valuation agencies etc. in drafting AIF related documents such as placement memorandum, trust deed, contribution agreement, share purchase agreement with investee companies, addendums etc. The candidate shall also be engaged in assisting compliance and legal team in the implementation of regulatory requirements and addressing queries from regulators.

Person Specifications:

- Investment Banking or Private Equity professional with a degree in law or with relevant experience related to legal aspects of the role

- Thorough understanding of standard practices in handling diligence engagements (FDD, VDD, LDD, etc.), SHAs, SPAs, Rights Pooling agreements, FEMA, Income Tax regulations, SEBI regulations, relevant banking practices, IPO / OFS practices, statutory audits and other kinds of general / specific need audits

- Experience in dealing with leading audit firms, law firms and valuation service providers

- Strong communication and interpersonal skills

- Excellent organizational and time management skills

- Proficiency in Microsoft Office Suite

- Ability to work independently and as part of a team
