Role: Legal Head
Description
Playing a crucial role, this role manages regional legal affairs encompassing land acquisition, documentation, and litigation. The role is expected to effectively coordinate with internal and external stakeholders for due diligence, document preparation, and legal representation, ensuring compliance with legal standards and regulatory requirements at the regional level.
Key Result Areas
Term Sheet and Due Diligence Planning
- Review the legal aspects of the term sheet in deliberation with the National Legal Head and share inputs with the BD team.
- Review and share the preliminary documents and data received from the BD team to solicitors for due diligence and keep copies for internal reference.
- Coordinate with the BD Team to obtain any additional documents required by solicitors. Receive and review the draft due diligence report from the solicitor.
- Coordinate a joint meeting with solicitors, the National Legal Head, and the Regional BD Team to discuss due diligence findings and finalize the due diligence report.
- Submit the final due diligence report to the Regional Head and the National Legal Head.
Preparation and Finalisation of DA
- Prepare a draft report of the title and deal structuring report, and provide inputs to the legal consultant to draft the DA.
- Incorporate inputs from stakeholders (Regional Head, BD Head, Legal Head, CFO, COO) into the DA with support from the consultant.
- Share the draft DA with the BD Head for review and approval, then send it to the landowner for their review and feedback.
- Vet changes suggested by the landowner and incorporate necessary adjustments.
- Coordinate final reviews and approvals of the DA from stakeholders and the Corporate Legal Counsel.
- Jointly visit the registration office with the Regional BD Head and the landowner to register the DA.
Appointment of Solicitors
- Identify solicitors/advocates required for various legal reviews from the external solicitor database.
- Shortlist solicitors based on requirements, discuss the scope of work and negotiate fees.
- Forward the scope of work with negotiated fees to the Head - Legal for approval.
- Review the engagement letter drafted by the solicitor and forward it to the Head - Legal for review and approval.
- Track the status of work being executed by the external solicitor.
- Evaluate the work done by external solicitors upon receiving bills.
- Approve bills submitted by external solicitors and approve their bills for payment as per the DOA.
Response to Notice and Litigation Filing
- Receive original documents (information/notice) and backup documentation from the User Department.
- Prepare and finalize reply pleadings based on inputs from the User Department and send to the National Legal Head for comments and approval.
- Update the notice tracker with the date of reply and discuss with the National Legal Head if litigation is to be filed.
- Prepare synopses in consultation with the User Department and forward them to the National Legal Head for review.
- Forward the approved synopses to external solicitors if required, along with supporting documentation.
- Incorporate comments from the User Department into litigation documents and finalize them for National Legal Head's approval.
- Maintain the litigation tracker with details of cases filed or defended.
Litigation Management & favourable closures
- Discuss cases internally with the National Legal Head and User Department based on filed plaints.
- Schedule and coordinate meetings with external solicitors to discuss case preparation.
- Prepare and compile the list of required documents and submit them to external solicitors.
- Draft replies, affidavits, and other legal documents if external solicitors are not required and forward them to the National Legal Head for approval.
- Receive court hearing dates and prepare lists of personnel required to be present in court.
- Attend court hearings and prepare summaries to present to the National Legal Head.
- Update the litigation tracker with details after each court hearing.
- Coordinate joint meetings with the National Legal Head and CEO to evaluate judgments and discuss the way forward.
- Regularly review the litigation tracker to ensure highest level of accuracy.
- Coordinate briefing sessions with the National Legal Head to discuss activities and action plans.
- Prepare monthly legal MIS reports and incorporate inputs from the National Legal Head.
Documentation Standardization and Legal Vetting
- Identify documents that can be standardized and create templates in consultation with HO Legal and HO User. Forward standard templates to the National Legal Head for review and approval. Incorporate changes suggested by the National Legal Head and forward the finalized templates to the User Department HOD for review and inputs. Ensure finalized standard templates are circulated to the respective User Departments. Discuss additional details needed with the User Department and prepare draft documents. Forward draft documents to the National Legal Head for review and approval. Incorporate changes suggested by the National Legal Head and forward the documents to the User Department for their comments and inputs. Finalize the documents in consultation with the National Legal Head and submit finalized documents to the User Department. Identify the list of documents that should be routed via the Legal Department to mitigate legal risks and inform User Departments for adherence to the same. Receive and review documents from User Departments and vet the same. Coordinate joint meetings with the National Legal Head and User Department to finalize documents if changes are not initially acceptable. Finalize documents after incorporating acceptable changes and forward them to the User Department.
RERA Registration - Receive intimation from the Liaison Team regarding approvals and the commencement certificate from the competent authority. Engage RERA Consultants, negotiate fees, and obtain the engagement letter. Coordinate with all concerned departments to gather necessary documents, information, and approvals for RERA registration based on the RERA Document Checklist. Initiate the registration process after receiving all project-related documents. Monitor the RERA registration application and resolve queries raised by RERA and F&A Team Monitor the completeness and accuracy of records uploaded on RERA website Ensure all RERA registration processes comply with legal requirements. Address any queries or issues raised during the registration process and liaise with the National Legal Head for complex matters.
Documentation, Records and MIS - Oversee the development and maintenance of a comprehensive tracker for project due diligence and documentation, ensuring accuracy and adherence to organizational objectives. Prepare and submit monthly legal MIS reports for the region, incorporating inputs from the National Legal Head.
People Management - Assist, guide and monitor team members in their day to day affairs. Set performance expectations, review team performance and provide constructive feedback. Motivate team members for better performance. Address team's issues or grievances.
