Company Secretary / Legal Head
Key Responsibilities:
Secretarial Responsibilities:
- Ensure compliance with Companies Act, SEBI Regulations, FEMA, and other statutory requirements.
- Organize and conduct Board Meetings, Committee Meetings, and Annual General Meetings (AGMs); draft agendas, minutes, and resolutions.
- Prepare and file statutory returns, forms, and documents with ROC/MCA and other authorities.
- Maintain statutory registers, records, and ensure timely disclosures and reports.
- Liaise with directors and senior management to provide guidance on governance and secretarial matters.
Legal Responsibilities:- Lead and oversee all legal matters including contracts, litigation, IPR, labor, and industrial laws.
- Draft, review, and negotiate high-value commercial agreements, MoUs, and vendor contracts.
- Represent the company before legal forums, tribunals, and government bodies.
- Manage external legal counsels and coordinate litigation strategy across business verticals.
- Ensure legal compliance across plants, offices, and other operations in India (and abroad, if applicable).
- Handle dispute resolution, arbitration, and regulatory issues efficiently.
Corporate Governance & Risk Management:
- Develop and implement best corporate governance practices and internal controls.
- Support the Board and management in risk mitigation and strategic legal decision-making.
- Advise the leadership on mergers, acquisitions, joint ventures, and restructuring activities.
Desired Candidate Profile
- Educational Background: Company Secretary (ICSI) & Law Graduate (LLB) - both qualifications mandatory.
- Experience: 15-20 years of experience, preferably in a listed manufacturing or industrial company.
- Strong understanding of corporate, commercial, and regulatory laws.
- Excellent stakeholder management, communication, and leadership skills.
- Hands-on experience with regulatory bodies like SEBI, MCA, ROC, and NCLT.
- Strategic thinker with a solution-oriented approach and business acumen.
