
Key Responsibilities:
Board & Shareholder Governance:
- Organize, convene, and attend Board and committee meetings (Audit, NRC, Risk, CSR, IT Strategy, etc.)
- Draft and maintain minutes, resolutions, notices, and agenda in compliance with Secretarial Standards.
- Coordinate with Chairperson and Directors to ensure effective decision-making and governance.
- Manage shareholder communication, AGMs, EGMs, postal ballots, and liaise with RTA on shareholder matters.
- Registrar & Share Transfer Agent Coordinate with RTA on shareholder matters including demat, transmission, dividend, etc.
- Annual Report preparation / drafting Board's Report / Notice / Corporate Governance Report
- Draft/review investor disclosures including press releases, results, policies, and annual reports.
Compliances:
- Compliance with provisions of the Companies Act, 2013 and allied rules and regulations.
- Compliance with SEBI Listing Obligations and Disclosure Requirements for listed entities.
- ROC and MCA Coordination Liaise with the Registrar of Companies and Ministry of Corporate Affairs as required.
- Prepare and file all ROC filings & statutory returns and forms with MCA and stock exchanges (e.g., MGT-7, AOC-4, XBRL, etc.).
- Ensure timely disclosures under SEBI LODR, SAST, PIT, and other applicable norms.
- Coordination with stakeholders (MCA, IEPF, SEBI, Stock Exchanges, Depositories, RTA, etc.)
- Maintain Structured Digital Database (SDD), oversee insider trading norms and trading windows.
Audits, Policies and Record Keeping:
- Provide requisite documents for internal, statutory and secretarial audits. Support for RBI and SEBI inspections/audits
- Policy Drafting & Review Draft/review policies such as Whistleblower, Code of Conduct, Related Party Transactions, etc as required under Companies Act & SEBI LODR.
- Maintaining Statutory registers and record and book keeping as required under Companies Act, SEBI LODR, SEBI PIT & other applicable laws.
Educational Qualification & Certifications :
- Education Qualified Company Secretary (ICSI Member)
- Certifications Preference to candidates with LLB (preferred)
Key Skills & Competencies :
- Regulatory Expertise Deep understanding of Companies Act, SEBI LODR, SEBI PIT and other applicable laws
- Communication Strong written and verbal communication with Board, Regulators, and Stakeholders
- Analytical Ability to interpret laws, analyze gaps, and recommend corrective actions
- Technology Proficient in compliance tools, MCA portal, BSE listing portals, SDD tools etc.,
Experience Required :
- 7 - 12 years of Experience (Listed company preferred)
