We are seeking a qualified and experienced Company Secretary (ACS) with more than 8+ years of experience in a BSE/NSE listed company. The ideal candidate will be responsible for ensuring company-wide compliance with corporate laws, managing board governance, and handling all secretarial functions and regulatory filings in alignment with SEBI and MCA requirements. The role demands high attention to detail, a strong command of legal and governance frameworks, and excellent communication with stakeholders.


Secretarial & Corporate Compliance


- Ensure end-to-end compliance with the Companies Act, 2013, SEBI (LODR), FEMA, RBI, and other applicable corporate laws and regulations.


- Organize and conduct Board Meetings, General Meetings, and Committee Meetings (Audit, NRC, CSR, etc.).


- Prepare and maintain agenda, notices, resolutions, and minutes of Board and shareholder meetings.


- Ensure accurate and timely filings with Ministry of Corporate Affairs (MCA) and Stock Exchanges (BSE/NSE).


- Coordinate and manage:


- Quarterly, Half-yearly, and Annual Compliance under SEBI (LODR)


- Insider Trading compliance and maintenance of Structured Digital Database (SDD)


- Takeover Regulations (SAST) and Employee Benefit Regulations (ESOPs)


Regulatory Filings & Corporate Governance


- File annual returns and statutory forms (e.g., MGT-7, AOC-4, DIR-12) including XBRL filings as applicable.


- Prepare the Annual Report in line with Secretarial Standards, SEBI, and Companies Act requirements.


- Manage preferential issues, ESOP-related compliance, subsidiary incorporation, and trading approvals.


- Liaise with SEBI, ROC, RBI, Depositories (NSDL/CDSL), Registrar & Transfer Agents (RTA), Secretarial Auditors, and external consultants.


Stakeholder & Legal Coordination


- Serve as the nodal point for communication with Stock Exchanges, Shareholders, and Directors.


- Maintain statutory registers and ensure timely updates.
