Liaisoning :
- Develop & maintain effective networks, enhancing relationship with high court, District Courts, Deputy Collector Courts, SSRD (Special Secretary Revenue Department) Court, and deals with Advocates/ Counsel.
- Dealing with Government department and officials for addressing, resolving issues & act as a senior point of contact for key government or community representatives.
- Develop, revise, and oversee the Legal Group's policies and procedures File Civil Petition, CMA in Court. and keep update on various legal enactments / Judgments.
- Liaising with Legal Counsels for cases under Consumer Cases, Labor court cases, Negotiable Instrument cases, Code of Civil and Criminal Procedure and property related matters and appearance with them in respective District and High courts, Supreme Court, Consumer Forums, Arbitrations, Labor's Courts etc.
- Litigation management: Review process of litigation, Land Title Clearance and Registration of Agreements.
- Person Should be responsible for the liaisoning works pertaining to liaisoning & coordination with local department and various Government authorities for certifications & approvals related to Power Plant.
- Environmental clearance (EC).
- Consent for Establishment (CEF)
- CTO/CFO (From Pollution Control Board)
- Power Evacuation Feasibility (Transmissions Lines)
- MNRE - State Nodal Agency Approval (SNA)
- PPA - Power Purchase Agreement
- Director of Factory's Approval
- Labour Department Approval
- Airport Authority of India Clearance (For Chimney)
- Temporary Connection/Construction Power
- Town / Country plan approval (For Land )
- NOC from Forest Department (If Applicable)
- Disaster Management (NFPA).
- For above certifications and approval complete document preparation inline to the standards format/Specimens copy of the respective agencies, Submissions to respective authority offline or online mode, follow ups, attending meeting authorities and coordination until final approval/permission is granted.
- Person with links and relationship with above mentioned local bodies/departments shall be preferred and given weightage.
- Having knowledge of land demarcations, acquisition with basic knowledge of Material Recovery Facility (MRF) Center will be added advantage .
Government Liaison for Solar Project
Every Government liaison requires clear understanding of governmental processes and persistent follow-up of every task. Person will be responsible for below mentioned steps to implement successful solar project (not an exhaustive list)
- Solar Project implementation under PPA (power Purchase Agreement):
- PPA allotment and signing:
- State Nodal Agency (SNA) registration:
- Project Implementation and commissioning
- Solar project commissioning
Legal Knowledge:
- Drafting and vetting various legal documents/agreements like Basic Purchase Agreement, Sales Agreement, Transporters Agreement, OBL Agreements, Consignee Agent Agreements, Non-Disclosure Agreement, Lease Deeds, Manpower Contractor, General Purchase Agreement, Service Agreements, partnership Deeds & MOU's and other various kinds of legal agreements (domestic and internationally) & other assignments.
- Ensure in Managing Board and Country Directors receive legal advice on risks and opportunities concerning corporate legal issues, including registration and tax issues, in the countries.
- Ensure in the implementation of key legal processes that relate to Legal drafting, negotiations, commercial settlement agreements & ability to draft & manage complex patents.
- Ensure to have good skills in the legal negotiation such as mergers & acquisitions, tender bidding, and contract acquitions.
- Drafting and vetting of MOA, MOU, Bank guarantee, Indemnity Bonds if any, Undertakings and authority letters, vendor contracts, etc & co-ordination with the panel of lawyers to ensure documents are legally sound.
- Support the leasing/projects/Marketing/ Finance & Accounts/ center Operation teams by providing expert advice on legal and regulatory matters related to the project.
Supervisory Role:
- Supervise the internal audit function to assure the effective operating of governance, policy and internal control processes. Ensure corporate compliance processes and externally demanded organisational assessments are carried out in a timely manner.
- Supporting the Chief of Staff and Director of Corporate Affairs in identifying deliverables and a framework for monitoring and reporting on change management activities, including collating relevant information for change management reporting to the Board of Governors
- Sign, supervise and review the activities of public relations staff & Soliciting advice and guidance, when appropriate, from a Board of Directors.
