Role Overview:
The Company Secretary Head will be responsible for ensuring compliance with corporate laws, governance frameworks, and regulatory requirements.
They will play a strategic role in advising the board and senior leadership on legal, risk, and compliance matters.

Key Responsibilities:

Corporate Governance & Compliance:


- Ensure adherence to all statutory and regulatory requirements under the Companies Act and other applicable laws.


- Act as the primary liaison between the company, regulatory authorities, and stakeholders.


- Manage board meetings, AGMs, EGMs, and ensure accurate documentation of minutes.


- Ensure timely filing of statutory returns, disclosures, and reports.

Legal & Risk Management:


- Provide legal counsel to the board and senior management on corporate governance, regulatory matters, and risk mitigation.


- Monitor changes in legislation and ensure compliance with new laws and regulations.


- Oversee contract management, shareholder agreements, and M&A due diligence.

Stakeholder Management:


- Work closely with investors, shareholders, auditors, and external legal advisors.


- Support investor relations and corporate communications from a legal perspective.


Leadership & Strategic Initiatives:


- Lead the secretarial and legal team, ensuring alignment with business goals.


- Implement best practices in corporate governance and compliance.


- Contribute to corporate strategy, risk management, and business sustainability initiatives.

Key Requirements:


- Qualified Company Secretary (CS) with 18 years of experience in corporate governance, regulatory compliance, and legal advisory roles.


- Extensive knowledge of the Companies Act, SEBI regulations, FEMA, and corporate laws.


- Strong leadership, communication, and stakeholder management skills.


- Experience working in a CXO capacity or with Board-level leadership is preferred.


- Ability to handle confidential and high-stakes legal matters with discretion.
