Group Finance Head - M&A/Financial Due Diligence - CA/MBA/CPA
Key Responsibilities
Strategic Financial Leadership & Portfolio Management:
- Act as a strategic partner to the CEO and executive team, providing critical financial insights and recommendations for both the holding company and its portfolio entities.
- Oversee and direct all financial operations, including accounting, finance, forecasting, strategic planning, and compliance for the entire portfolio.
- Develop and implement robust financial systems, controls, and processes that can scale across a diverse group of companies.
- Establish and monitor key performance indicators (KPIs) for each portfolio company to drive performance and identify areas for improvement.
Mergers & Acquisitions (M&A):
- Lead the financial due diligence process for all potential acquisitions, conducting comprehensive analyses of financial statements, models, and operational data.
- Develop sophisticated financial models for valuation, synergy analysis, and deal structuring.
- Play a key role in structuring M&A deals, including purchase price allocation, financing, and negotiation of financial terms in purchase agreements.
- Oversee the post-acquisition financial integration process to ensure a smooth transition and the realization of expected synergies.
Private Lending & Investment Analysis:
- Lead financial due diligence for potential private lending and credit investment opportunities.
- Assess the creditworthiness, financial health, and risk profile of potential borrowers.
- Structure and model debt instruments and provide recommendations to the investment committee.
Investor Relations:
- Serve as a primary point of contact for investors, lenders, and other financial stakeholders.
- Develop and maintain strong relationships with the investment community.
- Prepare and present financial information, performance updates, and strategic plans to investors and the board.
- Manage all investor communications and reporting, ensuring transparency and building confidence.
Financial Planning, Reporting & Compliance:
- Direct the preparation of all financial statements, including income statements, balance sheets, shareholder reports, and tax returns, ensuring compliance with GAAP and other regulatory requirements.
- Lead the annual budgeting and long-term financial planning process across all entities.
- Provide timely and accurate analysis of budgets, financial trends, and forecasts to the executive team and board.
- Ensure all entities are in compliance with local, state, and federal financial regulations and reporting requirements.
Team Leadership & Development:
- Build, mentor, and lead a high-performing finance and accounting team capable of supporting a complex, multi-entity organization.
- Foster a culture of accountability, collaboration, and continuous improvement within the finance function.
Qualifications & Experience:
Education:
- Bachelor's degree in finance, Accounting, or Economics is required.
- MBA and/or professional certifications such as CA are highly preferred.
- Additional CPA degree is good to have.
Experience:
- 15+ years of progressive financial leadership experience, with at least 5 years in a senior management role (CFO, VP of Finance, or Director of Finance).
Multi-Entity Management:
- Proven experience managing the finance and accounting functions for a holding company, private equity firm, or a corporation with multiple subsidiaries is essential.
M&A and Due Diligence:
- Extensive, hands-on experience in leading financial due diligence, structuring M&A transactions, and post-merger integration is a must.
Investor Relations:
- Demonstrable experience in managing investor relations and communicating with financial stakeholders.
Lending Experience:
- Experience in financial analysis for private credit, lending, or debt investments is highly desirable.
Technical Skills:
- Strong knowledge of GAAP, financial modeling, and ERP systems. Expertise in building and managing complex financial reporting structures.
