Role Designation: Analyst / Senior Analyst / Associate/ Sr Associate (Depending on the experience)
Location: Mumbai
Job Purpose
The ECM team member plays a critical role within the Equity Capital Markets team, supporting the origination and execution of equity transactions such as Initial Public Offerings (IPOs), Follow-on Public Offers (FPOs), Qualified Institutional Placements (QIPs), rights issues, and block deals. The role requires strong financial and analytical capabilities, familiarity with capital markets regulations, and the ability to manage complex projects across multiple stakeholders. The ideal candidate should be adept at preparing investor-facing materials, coordinating regulatory processes, and contributing to high-quality execution outcomes.
Key Deliverables
1) Lead and support the end-to-end execution of ECM transactions including IPOs, FPOs, QIPs, rights issues, and private placements.
2) Collaborate with internal and external stakeholders including clients, legal advisors, auditors, regulators, and merchant banking partners to ensure seamless execution.
3) Prepare pitch presentations, deal collaterals, and roadshow presentations tailored to institutional and retail investors.
4) Build, refine, and maintain detailed financial models to support valuation analysis, pricing decisions, and transaction structuring.
5) Conduct in-depth financial analysis and benchmarking of client and peer companies.
6) Draft and review key transaction documents including offer documents, term sheets, information memoranda, and investor presentations.
7) Support due diligence processes, coordinating inputs from various advisors and compiling diligence reports.
8) Liaise with the legal and compliance teams to ensure adherence to regulatory guidelines throughout the transaction lifecycle.
9) Ensure that all execution activities comply with SEBI regulations, stock exchange requirements, and internal risk policies.
10) Provide real-time updates and support to clients during the execution phase; address client queries and participate in regular status meetings.
11) Track market conditions, investor appetite, and regulatory changes impacting ECM activity; share insights with internal teams and clients.
12) Prepare internal reports and external communications including transaction updates, investor materials, and marketing decks.
13) Recommend and implement improvements in execution workflows to enhance process efficiency and accuracy.
14) Maintain a high standard of quality and professionalism across all deliverables.
15) Work closely with legal and compliance teams to address any regulatory issues that arise.
16) Maintain up-to-date knowledge of relevant regulations and industry standards.
17) Identify opportunities to enhance execution processes and improve efficiency.
18) Implement best practices and maintain high standards of execution quality.
19) Continuously evaluate and refine execution strategies.
Role Requirements
- Certifications: NISM Series IX (Merchant Banking) Certification preferrable (mandatory within 3 months of joining)
- Experience: Upto 3 years of relevant experience in investment banking, with a focus on ECM transaction execution.
- Strong grasp of valuation methodologies and hands-on experience in financial modeling
- Experience in drafting investor presentations and roadshow materials
- Familiarity with SEBI regulations and documentation processes
- Ability to manage regulatory coordination, including liaison with compliance and legal functions
