The Company Secretary will play a crucial role in ensuring the organization complies with statutory and regulatory requirements.
This individual will work closely with the Board of Directors, legal, and regulatory teams to uphold the highest standards of corporate governance, compliance, and ethics.
- Board and Committee Meetings: Draft agendas, notices, and minutes for Board, Committee, and Shareholders' meetings.
- Handle Board approvals via circular resolutions for critical matters requiring authorization.
- Maintain statutory registers, records, and corporate governance documentation.
- Corporate Compliance: Ensure compliance with the Companies Act, 2013, SEBI (LODR) Regulations, SEBI (PIT) Regulations, and other applicable laws.
- Carry out timely filings with ROC, NSE, and other regulatory bodies.
- Design and implement compliance calendars, processes, and checklists.
- Governance and Regulatory: Facilitate fundraising activities, including in-principle applications, listing, and trading approvals.
- Monitor and ensure adherence to corporate governance principles and highest ethical standards.
- Statutory and Regulatory Liaison: Address company affairs and secretarial matters.
- Interface with regulatory bodies like SEBI, NSE, and other authorities.
- Process Management: Draft and monitor compliance processes and frameworks.
- Summarize regulatory updates and ensure timely communication to stakeholders.
- Financial and IT Controls: Assist in the implementation and audit of financial and IT control processes.
- Collaborate with finance teams to address compliance and reporting issues.
- Working on legal agreements, drafting, and review.
- Education: Qualified Company Secretary (CS)
- Experience: At least 5 years of post-qualification experience, with a minimum of 5 years in a publicly listed company.
- Technical Knowledge: Strong expertise in corporate laws (Companies Act, SEBI Regulations, etc.
- Basic legal understanding and knowledge to address compliance and governance matters.
- Key Skills: High ethical standards and integrity.
- Excellent drafting and documentation skills.
- Strong organizational and interpersonal abilities.
- Result-oriented with ownership of outcomes.
- Experience with end-to-end compliance processes.
- Ability to work with cross-functional teams, stakeholders, and external regulatory bodies.
- Proficiency in managing secretarial activities related to fundraising, ESOP management, and corporate filing
