
Broad JOB Description:
LITIGATION:
- Handling litigation matters with corporate experience of 10 to 15 years on Civil and Criminal matters, amongst the following:
Contracts / Customers / Vendors related disputes / claims:
- Expertise in handling such disputes / cases / claims before various legal forums as appropriate.
- Labour Laws related matters / Handling of cases before labour Courts, Magistrate Courts and quasi-judicial authorities like Joint Commissioner of Labour / DISH etc.,
Government Claims:
- Central / State Government - (other than Tax matters) Litigation involving various Government Departments /Agencies /Show Cause Notices /responses to Show cause Notices and other Government related letters
- National Company Law Tribunal (NCLT):
- Insolvency and Bankruptcy Code 2016 - related cases - Filing / handling of cases / claims filed by group Companies against Customers for recovery of amounts.
- Electricity Laws Related matters related disputes/ cases / claims from / with Electricity Authorities.
- Property Related Cases - Suits relating to property matters including title claim, declaration suits of title to property, declaration for possession of property - handling such matters in the district courts / high Courts.
- Environmental Laws related matters / Handling of cases before National Green Tribunal and High Courts.
- Trade Marks /Patent/ Domains Related matters/ cases.
- Arbitration Matters - Commercial disputes with parties / customers - Arbitration related matters including issue of notices / arbitration proceedings.
- Litigation Management : Interaction with & Briefing of Advocates / Senior Advocates, on key aspects of any case including strategic approach in handling of litigation matters in Courts . Co-ordination with Solicitors, Advocates, Counsels to ensure timely and effective action in all proceedings
- Exposure to International Laws / Litigation : Desirable - candidates with experience / exposure to International Litigation / Exposures to International Laws / International Arbitration Matters.
Non Litigation matters:
Should have good exposure / expertise in handling contracts / agreements of various types including :
- Commercial Contracts / Agreements - Supply Contracts, Agreements with Service Providers, Master supply Agreement, Job Work Agreements, Power Purchase Agreement / Shareholders Agreement, /Business Transfer Agreements / Dealership Agreements / Agency Agreements, Non Disclosure Agreement s/ Confidentiality Agreement
- Joint Venture Agreements / Technical Collaboration Agreements - Joint Venture Agreements / Technology Licence Agreements / Trade Marks / Trade Name Agreements
- Employee Agreements - Employee related Agreements including confidentiality / non compete agreements and others
- Property Related Agreements - Settlement Deeds / partition Deeds / Gift Deeds / Sale Deeds/ Lease Agreements - drafting / vetting of draft of such documents
- Bank / Financial Institutions Documents - Facility Agreements, Term Loan Agreements, Security Creation Documents such as Deed of Hypothecation, Deed of Mortgage (includes various type of mortgages), Deed of Guarantee, Undertakings, Indemnities, Security Trustee Agreement - review and vetting / clearance of documents in co-ordination with Treasury persons
