Job Summary:
The Company Secretary plays a pivotal role in ensuring that the real estate company complies with statutory and regulatory requirements and maintains high standards of corporate governance. This position supports the Board of Directors and senior management in legal compliance, corporate administration, and stakeholder communication, with an emphasis on real estate laws, contracts, and regulatory filings.
Key Responsibilities:
1. Corporate Governance & Compliance:
- Ensure the company complies with applicable laws and regulations (Companies Act, RERA, SEBI, etc.).
- Maintain statutory books, including registers of members, directors, and secretaries.
- Prepare and file necessary documents with regulatory authorities (ROC, RERA, SEBI, etc.).
- Organize and attend board meetings, annual general meetings (AGMs), and committee meetings.
- Draft minutes, resolutions, and meeting agendas.
- Advise the Board on corporate governance best practices and regulatory changes.
2. Real Estate Regulatory Compliance:
- Ensure compliance with Real Estate (Regulation and Development) Act (RERA).
- Handle documentation and filing of projects under RERA.
- Monitor real estate project timelines, disclosures, and adherence to compliance standards.
- Coordinate with legal teams for land due diligence and title verification.
3. Legal & Contractual Management:
- Review and vet legal documents including property agreements, lease deeds, JV/JDAs, and MOUs.
- Liaise with external legal counsel for litigation or disputes.
- Support in land acquisition and property registration processes.
4. Liaison & Communication:
- Act as the liaison between the Board, shareholders, regulatory bodies, and other stakeholders.
- Maintain good relationships with government agencies and external auditors.
- Ensure smooth flow of information and legal updates to relevant departments.
5. Record Keeping & Documentation:
- Maintain all necessary company records, charters, and legal documents.
- Manage digital and physical records for easy retrieval and audit purposes.
Qualifications & Requirements:
- Qualified Company Secretary (CS) - Member of ICSI.
- Bachelor's degree in Law, Commerce, or related field; LLB is a strong advantage.
- 3-7 years of experience as a Company Secretary, preferably in a real estate or infrastructure company.
- Strong understanding of corporate law, RERA, and real estate regulations.
- Excellent communication, drafting, and organizational skills.
- Attention to detail and ability to handle confidential information discreetly.
