
Job Summary
We are seeking a qualified Company Secretary (CS) to ensure our organization complies with statutory and regulatory requirements and maintains high standards of corporate governance.
The Company Secretary will act as a key advisor to the Board of Directors on legal, compliance, and governance matters while overseeing corporate records, shareholder communication, and regulatory filings.
- Ensure compliance with Companies Act, SEBI, FEMA, and other applicable laws/regulations.
- Maintain statutory books, registers, and records as required under corporate law.
- Draft, review, and file statutory returns, ROC forms, and regulatory documents.
- Organize, prepare agendas, and record minutes of board meetings, AGMs, and committee meetings.
- Act as the primary liaison between the Board of Directors, shareholders, regulators, and government authorities.
- Advise the Board on corporate governance practices, legal risks, and compliance issues.
- Assist in the preparation and review of annual reports, disclosures, and contracts.
- Oversee mergers, acquisitions, restructuring, and secretarial due diligence.
- Support the company in equity/debt fundraising, IPOs, and investor relations.
- Implement best practices in risk management, ethics, and compliance frameworks.
- CS qualification from ICSI (Institute of Company Secretaries of India) is mandatory.
- Strong knowledge of corporate laws, securities laws, FEMA, SEBI, and governance frameworks.
- Excellent drafting, communication, and presentation skills.
- Strong analytical and problem-solving ability.
- Experience in managing board-level interactions and regulatory filings.
- Attention to detail with high standards of integrity and confidentiality.
