
Chief Manager - Secretarial (Listed Companies)
Designation: Manager / Senior / Chief Manager
Roles & Responsibilities:
- Handling formalities pertaining to appointment/resignation of Directors
- Sending Circular Resolutions to Directors
- Understanding of various and critical provisions of Companies Act, 2013 and ensuring compliance of the same
- Preparation of various agendas and papers for Board Meetings, Committees, and annual general meetings (AGMs)
- Handling of all formalities relating to convening of Board and Committee meetings, coordinating with Directors for meetings, their disclosures, Annual General Meeting / Extra-Ordinary General Meeting including sending of notices
- Drafting and circulation of minutes of Board and Committee meetings and AGM/EGM
- Preparation and filing of Annual Return / Annual forms / XBRL filings and e-filing of various statutory forms
- Updating of Statutory Registers and maintenance of all documents and records including agenda papers and minutes
- Handling secretarial & listing related compliance tasks
- Handling of Secretarial Audit
- Preparation and review of applicable policies as per Companies Act, 2013
- Ensuring compliance of the secretarial standards applicable to the Company
Skills & Competencies:
- Time Management
- Meticulous attention to details
- Excellent computing, secretarial, interpersonal, teamworking and written/verbal communication skills are also important
Qualification & Experience:
- 8 to 15 years of work experience in secretarial role from any industry (Listed Company Preferred)
- Qualified Company Secretary
