Lead Secretarial and Legal
Location: Gurugram

Job Summary:
We are seeking an experienced and proactive Secretarial and Legal Head to lead our corporate secretarial and legal function. This role is critical to ensure legal compliance, manage corporate governance, mitigate legal risks, and provide strategic legal and regulatory guidance to the leadership team. The ideal candidate will bring strong experience from a corporate or legal background, preferably in a startup or high-growth environment along with Legal due diligence, fund raise via Primary and Secondary transactions.
Key Responsibilities:
Company Secretarial Responsibilities:
- Ensure compliance with Companies Act, 2013 and other applicable laws and regulations.
- Maintain statutory registers, records, filings, and board documentation.
- Draft, review, and manage Board and General Meeting agendas, minutes, and resolutions.
- Manage ROC filings, annual returns, and other secretarial compliances.
- Liaise with regulators (MCA, RBI, SEBI, etc.) and external advisors on secretarial and compliance matters.
- Oversee ESOP administration and ensure timely filings and disclosures.
- Ensure good corporate governance practices.
- Secretarial audit and Due diligence along with drafting of SHA, SPA and SSA and execution of end to end transaction
Legal Responsibilities:
- Draft, review, and negotiate commercial agreements including vendor contracts, NDAs, MoUs, SLAs, employment contracts, and investor documentation.
- Advise internal stakeholders on legal risks and mitigation strategies.
- Manage intellectual property filings and protection (trademarks, copyrights, etc.).
- Support fundraising, M&A, and due diligence processes from a legal standpoint.
- Handle and coordinate with external counsel on litigation or potential disputes.
- Monitor and interpret evolving laws/regulations relevant to the company's business.
- Manage all the registrations and monitoring of Labour law compliances
Required Skills and Qualifications:
- Qualified Company Secretary (CS) - mandatory.
- Bachelor's or Master's Degree in Law (LLB/LLM) - preferred.
- 5-8 years of experience in legal and secretarial roles, preferably in a startup or fast-paced corporate environment.
- In-depth knowledge of Companies Act, Contract Law, FEMA, and Labour Laws, other relevant laws.
- Experience working with regulatory bodies such as MCA, RBI, SEBI.
- Strong interpersonal, communication, and stakeholder management skills.
- Ability to manage multiple priorities and work independently in a dynamic environment.
Preferred Attributes:
- Experience in handling investor relations and fundraising processes.
- Familiarity with startup compliance frameworks and governance standards.
- Exposure to international legal matters (preferred but not mandatory).
- Hands-on, detail-oriented, and solution-driven mindset.
