Job Description: Capital Markets Lawyer (Mumbai / Delhi)

About the role:

We are seeking a highly skilled and motivated Capital Markets Lawyer with 3 to 5 years of experience to join our team in either Mumbai or Delhi.

The ideal candidate will have a strong background in capital market transactions and a deep understanding of Indian securities laws and regulations.

This role is a great opportunity for someone with prior experience at a law firm to take on a key position and contribute to a wide range of high-profile capital market deals.

Key Responsibilities:

As a Capital Markets Lawyer, your responsibilities will include:

- Fundraising and Offerings: Advising on and executing various fundraising activities for both listed and unlisted companies, including initial public offerings (IPOs), qualified institutional placements (QIPs), foreign currency convertible bonds (FCCBs), and public issues of bonds and debentures.

This also involves working on rights issues (renounceable and non-renounceable) and private placements.

- Mergers and Acquisitions (M&A) and Takeovers: Providing legal counsel on takeovers and buybacks of securities.

- Documentation and Due Diligence: Leading or assisting with due diligence processes and the preparation of key legal documents, such as the Red Herring Prospectus (RHP) and other offer documents.

- Advisory and Compliance: Offering expert advisory services to listed companies and market intermediaries on statutory and regulatory compliances.

This includes ensuring day-to-day compliance obligations with Stock Exchanges and SEBI, such as continuous disclosure requirements, listing criteria, and regulatory filings.

- Debt and Equity Capital Markets (DCM & ECM): Handling both debt capital markets and equity capital markets transactions.

Required Experience and Skills:

- 3 to 5 years of post-qualification experience in capital markets, with a focus on a law firm.

- Proven experience with the full lifecycle of capital market transactions, from drafting documents to advising on compliance.

- In-depth knowledge of Indian securities laws and regulations, including SEBI regulations and listing agreements.

- Strong analytical, research, and drafting skills.

- Excellent communication and interpersonal skills.

- Ability to work effectively both independently and as part of a team.

- A proactive and detail-oriented approach to legal work
