About the Job :
We are seeking highly motivated and skilled Capital Markets Lawyers to join our dynamic team in Mumbai or Delhi. The ideal candidates will possess a strong understanding of Indian capital markets regulations and demonstrate a proven track record in advising clients on a wide range of transactions. This role offers an excellent opportunity to work on complex and challenging assignments, interact with leading market participants, and contribute to the growth of our capital markets practice.
Responsibilities:
Fund Raising for Listed and Unlisted Companies:
- Advise clients on various fund-raising strategies, including public issues/offerings, private placements, and rights issues.
- Structure and execute transactions such as Initial Public Offerings (IPOs), Qualified Institutional Placements (QIPs), Foreign Currency Convertible Bonds (FCCBs), and public issues of bonds and debentures.
- Manage buyback of securities and takeover transactions.
Regulatory Compliance and Advisory:
- Provide comprehensive advisory services to listed companies and market intermediaries on statutory and regulatory compliance with the Securities and Exchange Board of India (SEBI) and stock exchanges.
- Ensure timely and accurate compliance with continuous disclosure requirements, listing criteria, and regulatory filings.
- Sign off on day-to-day compliance obligations with Stock Exchanges and SEBI.
Due Diligence and Documentation:
- Conduct thorough legal due diligence for capital market transactions.
- Draft and review key transaction documents, including Red Herring Prospectuses (RHPs), offer documents, subscription agreements, and other related agreements.
Debt Capital Markets (DCM):
- Advise on various DCM transactions including bond issuances, debentures, and other debt instruments.
- Handle regulatory compliance associated with DCM transactions.
Equity Capital Markets (ECM):
- Advise on various ECM transactions including IPOs, QIPs, Rights Issues, and other equity related transactions.
- Handle regulatory compliance associated with ECM transactions.
Client Relationship Management:
- Build and maintain strong relationships with clients, providing timely and effective legal advice.
- Represent clients in negotiations and interactions with regulatory authorities.
Legal Research and Analysis:
- Conduct in-depth legal research and analysis on relevant capital market regulations and case laws.
- Stay abreast of the latest developments in capital markets regulations and industry best practices.
Qualifications and Skills:
- LLB degree from a recognized university (Batch 2017 to 2020).
- 3-5 years of post-qualification experience as a Capital Markets Lawyer in a reputable law firm.
